Overview

This website is operated by Naked Glass Limited, trading as CleanPost ("CleanPost", "we", "us" or "our"). We are a New Zealand business operating in trade.

CleanPost provides this website, including the information, products, tools and services available through it, to you as the user, subject to these Terms of Service ("Terms").

By accessing our website, creating an account or purchasing something from us, you agree to be bound by these Terms and any policies referred to in them, including our Privacy Policy, Shipping Policy and Return and Refund Policy.

These Terms apply to all users of the website, including browsers, customers and people who submit reviews, comments or other content.

Please read these Terms carefully. If you do not agree to them, you must not use our website or Services.

Nothing in these Terms limits any rights or remedies you have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986 or any other law that cannot legally be excluded.

Our online store is hosted by Shopify Inc., which provides the e-commerce platform that enables us to sell our products.

Section 1 - Eligibility and acceptable use

By using this website, you confirm that you are at least 18 years old or have permission from a parent or legal guardian.

You must not use our website, products or Services:

  • for any unlawful or unauthorised purpose;

  • in a way that infringes another person's intellectual property, privacy or other rights;

  • to transmit viruses, worms, malicious code or other harmful material;

  • to interfere with the security or operation of the website; or

  • in a way that breaches any applicable law.

We may suspend or terminate access to our Services where we reasonably believe these Terms have been breached.

Section 2 - General conditions

We reserve the right to refuse or restrict service for a lawful and legitimate reason, including suspected fraud, misuse, unauthorised resale or a breach of these Terms.

You must not reproduce, duplicate, copy, sell, resell or commercially exploit any part of our website or Services without our written permission.

Headings are included for convenience and do not affect the interpretation of these Terms.

Section 3 - Product and website information

We take reasonable care to ensure that the information on our website is accurate and current. However, product descriptions, instructions, images, measurements, availability and other information may occasionally contain errors or require updating.

Product images are provided as a guide. We make reasonable efforts to display colours and packaging accurately, but the appearance of a product may vary depending on your device, product updates or changes made by the manufacturer.

Packaging, labels or product appearance may change without notice where the product itself remains materially the same.

Nothing in this section limits our obligations under the Consumer Guarantees Act 1993 or Fair Trading Act 1986.

Section 4 - Prices and payment

Unless stated otherwise, prices displayed on our New Zealand store are in New Zealand dollars and include GST.

Shipping charges and any other applicable costs will be shown before you complete checkout.

Prices may change at any time, but a price change will not affect an order that we have already accepted.

You agree to provide complete and accurate billing, payment and contact information and to update that information when necessary.

Payment must be made using one of the payment methods available at checkout.

Section 5 - Orders and order acceptance

Submitting an order is an offer to purchase products from us. An automated order confirmation acknowledges that we have received your order but does not necessarily mean that we have accepted it.

We may accept your order by processing it for fulfilment or sending you confirmation that it has been dispatched.

We may refuse or cancel an order where:

  • a product is unavailable;

  • there is an obvious pricing, description or technical error;

  • payment cannot be authorised;

  • the order appears fraudulent, unlawful or unauthorised;

  • the order appears to be for unauthorised resale or distribution;

  • delivery is not available to the address provided; or

  • we are otherwise legally entitled to do so.

If we cancel an order after payment has been taken, we will notify you and provide a full refund for the cancelled portion using the original payment method.

We may limit the quantity of products available to a customer, household, business, region or order where reasonably necessary.

Section 6 - Products and availability

Some products may be available exclusively online or in limited quantities.

We may introduce, change or discontinue products at any time. This will not affect orders we have already accepted unless we contact you and provide an appropriate replacement, refund or other remedy agreed with you.

Products are subject to our Return and Refund Policy and your rights under New Zealand consumer law.

Section 7 - Shipping and delivery

Shipping timeframes displayed on our website are estimates unless we expressly agree otherwise.

We will take reasonable steps to deliver your order within the stated or agreed timeframe. Delivery may occasionally be affected by events outside our reasonable control.

Your delivery rights, shipping options and procedures for delayed, missing or damaged parcels are described in our Shipping Policy.

Nothing in our Shipping Policy or these Terms limits any right you may have where products do not arrive within a reasonable or agreed time, arrive damaged or fail to meet a legal guarantee.

Section 8 - Subscriptions and recurring purchase options

This section applies when you purchase products through a subscription or recurring purchase option, including our "Never Run Out" option.

Subscription details

The product, price, delivery frequency and billing frequency will be displayed before you confirm your subscription.

By starting a subscription, you authorise us and our payment provider to charge your nominated payment method automatically at the frequency you select until the subscription is cancelled.

Managing or cancelling your subscription

You may cancel your subscription at any time without a cancellation fee by:

  • using the manage-subscription link provided in your account, order confirmation or subscription emails; or

  • emailing support@cleanpost.co.nz.

Cancellation will apply to future subscription orders. It will not ordinarily cancel an order that has already been processed or dispatched.

Orders that have already been processed remain subject to our Return and Refund Policy and your rights under New Zealand law.

You should cancel before your next scheduled billing date to prevent the next order from being processed.

Price or subscription changes

We may change subscription prices, products or delivery options from time to time.

We will provide reasonable advance notice of any material change affecting an active subscription, including at least 14 days' notice before a subscription price increase takes effect.

The notice will explain the change, when it takes effect and how you can cancel.

A material change will not apply retrospectively to an order already processed. You may cancel before the change takes effect if you do not wish to continue.

Failed payments

If a subscription payment fails, we may retry the payment, ask you to update your payment details, pause the subscription or cancel it.

We will make reasonable efforts to notify you using the contact information associated with your subscription.

Consumer rights

Nothing in this section limits your rights under the Consumer Guarantees Act 1993, Fair Trading Act 1986 or any other applicable law.

Section 9 - Gift cards

Where CleanPost sells gift cards to consumers:

  • the applicable expiry date will be displayed prominently;

  • a gift card will remain valid for at least three years from its date of sale unless an exception permitted by law applies;

  • gift cards may be used toward eligible purchases through the channels stated on the gift card;

  • gift cards cannot ordinarily be exchanged for cash, except where required by law; and

  • lost, stolen or incorrectly supplied gift card details may not be replaceable unless we can reasonably verify the card and remaining balance.

Promotional vouchers, discount codes, store credits issued for returned goods and other excluded vouchers may have different conditions and expiry periods where permitted by law.

Section 10 - Returns, refunds and faulty products

Returns, exchanges and change-of-mind requests are handled in accordance with our Return and Refund Policy.

Our Return and Refund Policy is additional to, and does not replace, your rights under the Consumer Guarantees Act 1993.

If a product does not meet a guarantee under the Consumer Guarantees Act 1993, the remedy available will depend on the circumstances and the nature of the failure.

Depending on the situation, you may be entitled to have the issue remedied, receive a repair, replacement or refund, reject the product where legally permitted, or recover other reasonably foreseeable loss.

We will not require you to accept store credit where the law entitles you to a monetary refund.

Section 11 - Optional and third-party tools

We may provide access to tools, applications, payment services or features operated by third parties.

We do not control those third-party services. They may be subject to their own terms, privacy policies and availability requirements.

To the maximum extent permitted by law, we are not responsible for loss caused solely by a third-party service outside our reasonable control.

Nothing in this section excludes responsibility that cannot legally be excluded or limits your rights against CleanPost in relation to products or Services we supply.

Section 12 - Third-party links

Our website may contain links to third-party websites or content.

These links are provided for convenience and do not necessarily mean that we endorse or control the third party.

You should review the third party's terms, privacy practices and product information before using its website or purchasing from it.

To the maximum extent permitted by law, we are not responsible for the independent conduct, content or services of a third-party website.

Section 13 - Reviews, comments and submissions

You are responsible for content you submit to us, including reviews, photographs, comments, suggestions or other material.

You must not submit content that:

  • is false, misleading, defamatory, abusive, threatening or unlawful;

  • infringes another person's intellectual property, privacy or other rights;

  • contains malicious code;

  • impersonates another person; or

  • misrepresents your relationship with a person or organisation.

You retain ownership of content you submit.

By submitting content for publication, you give us a non-exclusive, worldwide, royalty-free licence to use, reproduce, edit, publish and display that content for operating, promoting and improving CleanPost and our products.

This licence does not permit us to use your personal information contrary to our Privacy Policy.

We may moderate, decline or remove submitted content where we reasonably believe it breaches these Terms or applicable law.

Section 14 - Personal information

We collect, use, store and disclose personal information in accordance with our Privacy Policy and the Privacy Act 2020.

Our Privacy Policy forms part of these Terms.

Section 15 - Errors, inaccuracies and corrections

Our website may occasionally contain errors or omissions relating to product descriptions, prices, promotions, shipping costs, availability or other information.

We may correct an error and update information at any time.

If an error materially affects an order you have placed, we will contact you promptly and give you an appropriate option, which may include confirming the corrected order or receiving a full refund for the affected product.

We will not rely on this section in a way that is misleading, unfair or inconsistent with your rights under New Zealand law.

Section 16 - Consumer guarantees and business purchases

Consumer purchases

Nothing in these Terms excludes, restricts or modifies any right or remedy available under the Consumer Guarantees Act 1993, Fair Trading Act 1986 or another law that cannot be excluded.

Products supplied to consumers must meet the guarantees required by law, including applicable guarantees relating to acceptable quality, fitness for purpose, description, price, delivery and title.

Business purchases

Where you acquire products or Services from us for business purposes and:

  • you are acquiring them in trade;

  • both you and CleanPost are in trade;

  • these Terms form a written agreement between us; and

  • it is fair and reasonable for the parties to be bound by this provision,

you agree that the Consumer Guarantees Act 1993 will not apply to that transaction to the extent permitted by section 43 of that Act.

This business-purchase exclusion does not apply to an ordinary consumer purchase or where contracting out would not be fair, reasonable or legally permitted.

Section 17 - Warranties and limitation of liability

We do not exclude or limit liability where doing so would be unlawful.

For consumer purchases, this section is subject to all rights and remedies available under the Consumer Guarantees Act 1993 and Fair Trading Act 1986.

To the maximum extent permitted by law:

  • we do not guarantee that the website will always be uninterrupted, secure or error-free;

  • we are not liable for loss caused solely by events outside our reasonable control;

  • we are not liable for indirect or consequential loss that was not reasonably foreseeable; and

  • we are not responsible for loss caused by your unlawful use, misuse or use of a product contrary to clear instructions or warnings.

Nothing in these Terms excludes liability for reasonably foreseeable loss that is recoverable under the Consumer Guarantees Act 1993 or another law.

For a business transaction where the Consumer Guarantees Act 1993 has been validly excluded, our total liability arising from the affected transaction will, to the maximum extent permitted by law, be limited to the amount paid for the affected products or Services.

The business liability limit does not apply to fraud, deliberate misconduct or any liability that cannot legally be limited.

Section 18 - Responsibility for unlawful use

You are responsible for direct loss, damage or reasonable legal costs incurred by CleanPost as a result of:

  • your deliberate or fraudulent breach of these Terms;

  • content you submit that unlawfully infringes another person's rights; or

  • your intentional unlawful misuse of our website or Services.

You will not be responsible under this section to the extent that the loss was caused or contributed to by CleanPost, was not reasonably foreseeable, or cannot lawfully be recovered from you.

Section 19 - Intellectual property

The website and its content, including our branding, product photographs, text, graphics, videos and website design, are owned by or licensed to CleanPost and are protected by applicable intellectual property laws.

You may access and use the website for personal, non-commercial shopping purposes.

You must not reproduce, modify, distribute or commercially use our content without written permission, except where permitted by law.

Third-party brand names, trade marks and product images remain the property of their respective owners.

Section 20 - Suspension and termination

You may stop using our website at any time.

We may suspend or terminate your access where we reasonably believe you have materially breached these Terms, used the website unlawfully, threatened the security of the website or engaged in fraudulent activity.

Termination does not affect rights, obligations or payments that arose before termination.

Section 21 - Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be modified to the minimum extent necessary or severed.

The remaining provisions will continue to apply.

Section 22 - No waiver

If we do not immediately enforce a right under these Terms, that does not mean we have waived that right.

A waiver will only be effective where it is clearly communicated by us.

Section 23 - Entire agreement

These Terms and the policies referred to in them form the agreement between you and CleanPost regarding your use of the website and purchase of products through it.

They replace earlier versions of our online store terms relating to the same subject matter.

Nothing in this section excludes a representation or obligation that cannot legally be excluded.

Section 24 - Governing law

These Terms are governed by New Zealand law.

You and CleanPost submit to the non-exclusive jurisdiction of the New Zealand courts.

This does not prevent you from exercising any right available through the Disputes Tribunal or another legally available dispute-resolution process.

Section 25 - Changes to these Terms

We may update these Terms to reflect changes to our products, Services, business operations or legal obligations.

The updated Terms will be posted on this page with a revised "Last updated" date.

Changes will not apply retrospectively to an order already accepted unless required by law or agreed with you.

Where a material change affects an active subscription or continuing paid Service, we will provide reasonable advance notice. You may cancel the affected subscription or Service before the change takes effect.

For other changes, your continued use of the website after the effective date means the updated Terms will apply to your future use and purchases.
